1. Acceptance of Terms

By accessing or using BizyGrow ("Service," "Platform," or "we"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you (the "User," "you," or "your") and Bizylook governing your use of our business management platform.

By using the Service, you also agree to our Privacy Policy, which is incorporated into these Terms by reference.

2. Description of Service

BizyGrow is a comprehensive business management platform that provides:

2.1 Communication Tools

  • WhatsApp Business API: Send and receive WhatsApp messages, manage conversations, broadcast campaigns, and automate responses
  • Facebook Messenger: Manage Facebook Page messages and comments
  • Instagram Direct: Manage Instagram DMs and comment interactions
  • Unified Inbox: Centralized management of all messaging channels

2.2 Customer Management

  • Contact Management: Store and organize customer information
  • Tags & Segments: Categorize contacts for targeted communication
  • Notes & History: Track interactions and customer journey

2.3 AI-Powered Features

  • AI Agent: Automated intelligent responses to customer inquiries
  • AI Document Parser: Extract data from invoices, receipts, and documents
  • AI Image Studio: Generate marketing images and graphics
  • AI Review Replies: Draft professional responses to customer reviews

2.4 Reputation Management

  • Google Business Profile: Manage reviews, replies, and business information
  • Review Monitoring: Track and respond to customer reviews
  • Sentiment Analysis: Understand customer feedback trends

2.5 Additional Features

  • QR Code Generator: Create QR codes for various purposes
  • Loyalty Programs: Customer reward and points systems
  • Analytics & Reports: Track performance and insights
  • Task Management: To-do lists and reminders

3. Account Registration

To use certain features of the Service, you must register for an account. By registering, you agree to:

  • Provide accurate, current, and complete registration information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your password
  • Notify us immediately of any unauthorized access or security breach
  • Accept responsibility for all activities under your account
  • Not share your account credentials with others
  • Not create multiple accounts for fraudulent purposes

We reserve the right to suspend or terminate accounts that violate these requirements or appear to be fraudulent.

4. Acceptable Use Policy

4.1 You Agree To:

  • Use the Service in compliance with all applicable laws and regulations
  • Obtain proper consent before sending marketing messages
  • Respect the privacy and rights of others
  • Use AI features responsibly and review generated content before publishing
  • Keep your integrations and API credentials secure

4.2 You Agree NOT To:

  • Spam: Send unsolicited bulk messages or spam
  • Harassment: Harass, abuse, threaten, or intimidate others
  • Illegal Content: Distribute illegal, harmful, or objectionable content
  • Impersonation: Impersonate any person or entity
  • Malware: Distribute viruses, malware, or malicious code
  • Unauthorized Access: Attempt to gain unauthorized access to our systems
  • Reverse Engineering: Reverse engineer, decompile, or disassemble the Service
  • Scraping: Scrape, crawl, or collect data without authorization
  • Fraud: Engage in fraudulent or deceptive practices
  • Platform Abuse: Manipulate engagement metrics or abuse platform features
  • Reselling: Resell or redistribute the Service without authorization

Zero Tolerance: We have zero tolerance for spam, harassment, and illegal activities. Violations may result in immediate account termination without refund and may be reported to law enforcement.

5. WhatsApp Business Terms

When using WhatsApp integration features, you must comply with:

5.1 Messaging Requirements

  • Opt-in Required: You must obtain explicit opt-in consent before sending promotional messages
  • Template Approval: Marketing templates must be approved by WhatsApp before use
  • 24-Hour Window: Free-form messages can only be sent within 24 hours of customer's last message
  • Opt-out Handling: You must honor opt-out requests promptly
  • Business Verification: Your business must be verified to use the WhatsApp Business API

5.2 Prohibited Content on WhatsApp

  • Spam or unsolicited commercial messages
  • Adult content or services
  • Gambling or betting promotions
  • Weapons, drugs, or illegal products
  • Discriminatory or hateful content
  • Misleading or fraudulent content

Your Responsibility: You are solely responsible for ensuring your WhatsApp messaging practices comply with all applicable policies. Violations may result in WhatsApp account suspension and/or termination of your BizyGrow account.

6. Meta Platforms (Facebook & Instagram) Terms

When connecting Facebook Pages or Instagram accounts, you agree to:

6.1 Authorization Requirements

  • You must be an admin of Facebook Pages you connect
  • Instagram accounts must be Business or Creator accounts
  • You must have proper authorization to manage connected accounts
  • You can revoke access at any time through our platform or Meta settings

6.2 Content Guidelines

  • All content must comply with Meta Community Standards
  • Do not use automation to artificially inflate engagement
  • Respect intellectual property rights when posting content
  • Follow advertising policies for sponsored content

7. Google Services Terms

When connecting your Google Business Profile, you agree to:

7.1 Review Response Guidelines

  • Respond professionally and constructively to all reviews
  • Do not offer incentives for positive reviews or removal of negative reviews
  • Do not post fake reviews or manipulate ratings
  • Respect reviewer privacy and do not share personal information

8. AI Services & Credits

8.1 AI Credits System

  • AI features consume credits based on usage (tokens, images, documents processed)
  • Credits are purchased separately from subscription plans
  • Credits are non-refundable once purchased
  • Unused credits do not expire while your account is active
  • Credits cannot be transferred between accounts
  • We reserve the right to adjust credit pricing with notice

8.2 AI-Generated Content

  • No Guarantee: AI-generated content is provided "as is" without warranties of accuracy, appropriateness, or fitness for purpose
  • Review Required: You must review all AI-generated content before use or publication
  • Your Responsibility: You are solely responsible for content you publish using AI assistance
  • No Legal Advice: AI responses do not constitute legal, financial, medical, or professional advice

8.3 AI Usage Restrictions

  • Do not use AI to generate illegal, harmful, or deceptive content
  • Do not use AI to create spam or misleading communications
  • Do not submit sensitive personal data (SSN, passwords, medical records) to AI features
  • Do not attempt to bypass AI safety filters or content policies
  • Do not use AI to impersonate individuals or create deepfakes

AI Disclaimer: AI technology has limitations and may produce inaccurate, biased, or inappropriate outputs. Always verify important information independently and exercise professional judgment.

9. Document Processing

9.1 AI Document Parser

  • Documents you upload are processed by AI to extract structured data
  • We store uploaded documents and extracted data in your account
  • Document processing consumes AI credits based on complexity
  • Extracted data should be verified for accuracy before use

9.2 Document Security

  • Documents are encrypted during transit and storage
  • Access is restricted to your tenant account
  • You can delete documents at any time

9.3 Sensitive Documents

  • Be cautious when uploading documents containing sensitive personal information
  • Do not upload documents you are not authorized to process
  • Ensure compliance with data protection regulations when processing customer documents

10. Intellectual Property

10.1 Our Intellectual Property

The Service, including its software, design, features, documentation, and content (excluding user content), is owned by Bizylook and protected by copyright, trademark, and other intellectual property laws. You may not:

  • Copy, modify, or distribute our software or content
  • Use our trademarks without written permission
  • Reverse engineer or decompile our technology
  • Remove or alter any proprietary notices

10.2 Your Content

You retain ownership of content you create, upload, or transmit through the Service. By using the Service, you grant us a limited license to:

  • Host, store, and display your content to provide the Service
  • Process your content through AI features as you request
  • Create backups for disaster recovery purposes

10.3 AI-Generated Content

For content generated using our AI features:

  • You may use AI-generated images and text for commercial purposes
  • We do not claim ownership of AI outputs generated from your prompts
  • AI outputs may not be fully original and intellectual property rights may vary by jurisdiction

11. Payment & Billing

11.1 Subscription Plans

  • Subscription fees are billed in advance on a monthly or annual basis
  • Prices are displayed in your local currency or INR
  • All prices are exclusive of applicable taxes unless stated otherwise
  • Subscriptions automatically renew unless cancelled before the renewal date

11.2 AI Credits

  • AI credits are purchased separately as one-time or recurring purchases
  • Credits are non-refundable once purchased
  • Credit pricing may change with reasonable notice

11.3 Refunds

  • Subscription fees are generally non-refundable
  • Refund requests may be considered on a case-by-case basis within 7 days of purchase
  • No refunds for partial billing periods or unused features
  • AI credits are non-refundable under any circumstances

11.4 Price Changes

We reserve the right to modify pricing with 30 days advance notice. Price changes will apply to the next billing cycle after the notice period.

12. Termination

12.1 Termination by You

You may cancel your subscription and close your account at any time through your account settings or by contacting support. Upon cancellation:

  • Your subscription will remain active until the end of the current billing period
  • You can request an export of your data before account closure
  • Unused AI credits will be forfeited upon account closure

12.2 Termination by Us

We may suspend or terminate your account if you:

  • Violate these Terms or our Acceptable Use Policy
  • Violate third-party platform policies (WhatsApp, Meta, Google)
  • Fail to pay fees when due
  • Engage in fraudulent or illegal activities
  • Create security risks or legal liability

12.3 Effect of Termination

  • Your right to use the Service will immediately cease
  • We may delete your data after a 30-day retention period
  • Connected third-party integrations will be disconnected
  • No refunds for remaining subscription time (for cause termination)

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free
  • Results from using the Service will be accurate or reliable
  • AI-generated content will be accurate, appropriate, or free of errors
  • Third-party integrations will always be available
  • The Service will meet your specific requirements

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIZYLOOK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the greater of:

  • The amount you paid for the Service in the 12 months preceding the claim, or
  • INR 10,000 (or equivalent in your currency)

15. Indemnification

You agree to indemnify, defend, and hold harmless Bizylook, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of third-party platform policies
  • Your content or communications sent through the Service
  • Your violation of any third-party rights
  • Your violation of applicable laws or regulations

16. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Gujarat, India.

Before pursuing formal legal action, you agree to attempt to resolve disputes informally by contacting us at bizylook@gmail.com.

17. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes:

  • We will update the "Last updated" date at the top of these Terms
  • For material changes, we will notify you via email or in-app notification at least 30 days before the changes take effect
  • Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms
  • If you do not agree to modified Terms, you must stop using the Service
